Annual General Meeting 2026
The AGM will be held at 2:30pm on 18 June 2026 at Whitbread Court, Houghton Hall Business Park, Porz Avenue, Dunstable, LU5 5XE.
Previously we have offered a webcast for shareholders who could not attend in person, but the number of shareholders using this service was very low and did not justify the cost. We have therefore taken the decision to return to a physical meeting only.
Your vote is important to us and you are encouraged to vote either in advance of the AGM or on the day. All resolutions at the AGM will be put to shareholders by way of poll rather than a show of hands.
If you will not be participating in the meeting in person or otherwise wish to vote in advance, you may appoint a proxy by post, online through CREST or via Proxymity as further detailed in the Important Information section of this Notice.
Shareholders will be able to submit questions in advance of the AGM, by emailing them to agmquestions@whitbread.com.
Questions must be submitted by 5pm on Wednesday 17 June 2026. Shareholders attending in person will be able to ask questions at the meeting as usual.
If your shares are held within a nominee account and you wish to attend the meeting in person or electronically, you will need to contact your nominee as soon as possible. Your nominee will need to present a corporate letter of representation to MUFG Corporate Markets, our registrar, as soon as possible and at least 72 hours (excluding onbusiness days) before the meeting, in order that they can obtain for you your unique IVC and PIN to enable you to attend the meeting.
If you wish to appoint a proxy other than the Chair of the meeting and for them to attend the meeting on your behalf, please submit your proxy appointment in the usual way before contacting MUFG Corporate Markets on +44 (0) 344 855 2327* in order to obtain their IVC and PIN. It is suggested that you do this as soon as possible and at least 48 hours (excluding non-business days) before the meeting.
