The General Meeting will be held at 1:00pm on 9 November 2026 at Whitbread Court, Houghton Hall Business Park, Porz Avenue, Dunstable, LU5 5XE.

The General Meeting has been requisitioned by Corvex Management LP to consider a resolution to appoint a new director, selected by Corvex, to the Whitbread Board.

The Board recommends that shareholders vote AGAINST the Corvex resolution for three principal reasons:

THE RIGHT PLAN: Having already proactively undertaken and completed a rigorous and comprehensive business and strategic review, advised by Goldman Sachs, J.P. Morgan Cazenove, and Morgan Stanley, the Board has set out a detailed Five-Year Plan to drive margins, cash flow and returns for the benefit of shareholders over the medium and longer-term.

ALREADY IN FLIGHT: Whitbread’s Five-Year Plan is already showing early results, with H1 FY27 performance providing clear evidence of progress. The actions being executed today are de-risking delivery of the Five-Year Plan – it is crucial that execution is not compromised.

A STRONG BOARD: Whitbread has a highly experienced Board with all of the requisite skills to oversee delivery of the Five-Year Plan and increased returns for shareholders. Adding an additional director with a very different agenda will compromise the delivery of the plan.

Shareholders are able to attend in person as this will be a physical meeting only.

Your vote is very important to us and you are encouraged to vote either in advance of the meeting or on the day. The resolution at the meeting will be put to shareholders by way of poll rather than a show of hands.

If you will not be participating in the meeting in person or otherwise wish to vote in advance, you may appoint a proxy by post, online through CREST or via Proximity as further detailed in the Notice of Meeting.

Please vote as soon as possible. If you hold your shares through Hargreaves Lansdown, AJ Bell, Interactive Investor, Barclays, Halifax or another investment platform, you can normally instruct your platform how to vote. Platform voting deadlines may be earlier than Whitbread’s proxy deadline of 5 October.

If your shares are held within a nominee account and you wish to attend the meeting in person, you will need to contact your nominee as soon as possible. Your nominee will need to present a corporate letter of representation to MUFG Corporate Markets, our registrar.

If you wish to appoint a proxy other than the Chair of the meeting and for them to attend the meeting on your behalf, please submit your proxy appointment in the usual way before contacting MUFG Corporate Markets on +44 (0) 371 664 0300*. It is suggested that you do this as soon as possible and at least 48 hours (excluding non-business days) before the meeting.

*Lines are open from 9.00 a.m. to 5.30 p.m. Monday to Friday, calls are charged at the standard geographic rate and will vary by provider. Calls outside the UK will be charged at the applicable international rate.
